End User Licence Agreement ("EULA")

This is a software licence agreement which governs how you, either as an individual or as a corporate legal entity, may use the SoloManage software. Please read the agreement carefully and do not use the software unless you agree with the terms of the licence.

Your agreement to the terms of the licence and your acceptance of them are indicated when you click on the “I accept” button when you first install the software, and also when you install any licence key for the software.

These licence terms are an agreement between Quartile Software Limited and you. Please read them. They apply to the software named above, which includes the media on which you received it, if any. The terms also apply to any Quartile Software:

    - updates
    - supplements
    - Internet-based services
    - support services

for this software, unless other terms accompany those items. If so, those terms apply.

BY USING THE SOFTWARE, YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NOT DOWNLOAD, INSTALL OR USE THE SOFTWARE. IF YOU COMPLY WITH THESE LICENCE TERMS, YOU HAVE THE RIGHTS BELOW.

Scope of licence

The software is licensed, not sold. The licence granted to you is non-exclusive and non-transferable. It may not be assigned, or otherwise transferred in any way. By your acceptance of the terms of this licence agreement you acknowledge that no title to the intellectual property in the software is transferred to you. You further acknowledge that title and full ownership rights to the software will remain the exclusive property of Quartile Software Limited and/or its suppliers, and you will not acquire any rights to the software, except as expressly set out in this agreement. The software product is protected by copyright laws and international treaty provisions This agreement provides you with only limited rights to use the software. Quartile Software Limited reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that allow you to use it only in certain ways. You may not:

    - work around any technical limitations in the software;
    - reverse engineer, decompile or disassemble the software, except and only to      the extent that applicable law expressly permits, despite this limitation;
    - make more copies of the software than specified in this agreement or allowed      by applicable law, despite this limitation;
    - publish the software for others to copy;
    - distribute, re-sell, rent, sub-licence, lease, lend or otherwise make available to      others the software or any copies of it;
    - operate the software on more than one computer at any time;
    - remove any proprietary notices, labels or trademarks on the software or                documentation;
    - create any derivative works of any kind based on the software.


Backup copy

You may make one backup copy of the software. You may only use that backup copy to reinstall the software.

Licence key file

Each copy of the software may only be used in conjunction with a valid licence key file, which must be obtained only and directly from Quartile Software Limited. The number of users permitted to use the software at any time is defined by the contents of the licence key, and is made clear to you at the time of purchase of the key.

Registration and support

In order to receive support for the software, the user and licence key must be registered using the methods specified in the software and in the documentation.

Documentation

Any person who has valid access to your computer or internal network may copy and use the documentation for internal reference purposes only.

Disclaimer of warranty

The software is licensed “as-is.” You bear the risk of using it. Quartile Software Limited gives no express warranties, guarantees or conditions. You may have additional consumer rights under your local laws which this agreement cannot change. To the extent permitted under your local laws, Quartile Software Limited excludes any express or implied warranties of merchantability, fitness for a particular purpose and non-infringement of third party rights. The entire risk of the quality or reliability of the software is with you. Quartile Software Limited does not warrant, and its suppliers do not warrant, that the functions contained in the software will meet your requirements or that the operation of the software will be uninterrupted or free of errors or the potential of data loss. Quartile Software Limited provides no obligation to provide any updates or corrections to the software.

Entire Agreement

This agreement, and the terms for updates, supplements, Internet-based services and support services that you use are the entire agreement for the software and services.

Termination

You may terminate your licence and this agreement at any time by destroying all copies of the software and documentation you acquired or prepared. The licence will also be terminated automatically if you fail to comply with any term or condition of this licence.

Limitation on and exclusion of remedies and damages

In no event shall Quartile Software Limited or any other party who has been involved in the creation, development, production, or delivery of this software be liable for any direct, special, incidental or consequential damages, including, but not limited to, lost profits, loss of anticipated profits, business interruption, loss of benefits, restricted use, loss of data ,loss of documents resulting from the use or inability to use this software, or arising out of any breach of warranty. This limitation applies to:

     - anything related to the software, services, content (including software code)        on third party Internet sites, or third party programs; and
     - claims for breach of contract, breach of warranty, guarantee of condition,                  strict liability, negligence, or other tort to the extent permitted by applicable             law.

It also applies even if Quartile Software Limited knew or should have known about the possibility of the damages. The above limitation or exclusion may not apply to you because your country may not allow the exclusion or limitation of incidental, consequential or other damages. Quartile Software’s entire liability and your exclusive remedy under this licence agreement shall not exceed the price paid for the software and any accompanying licence key files. If you distribute the software in violation of this agreement, you agree to indemnify, hold harmless and defend Quartile Software Limited and its suppliers from any claims or action that arise from your breach of the agreement.

Applicable law

If you acquired the software in the United Kingdom, the interpretation of this licence shall be governed by the laws of Scotland. If you acquired the software in any other territory or country, the laws of that country of territory apply.
